Please read these Terms and Conditions carefully. Unless otherwise specified, these Terms and Conditions apply to all online channels of TWIST. By browsing, accessing, or using the TWIST website, mobile application, or its social media (hereinafter referred to as the "TWIST Platform" or "the Platform"), or using any facilities provided through the Platform, or using the services provided through the Platform, or making transactions on or through the Platform, you agree to comply with the Terms and Conditions set out below.

About TWIST eShop Account Registration
1. Do I need to register an account to shop on the TWIST eShop?
All customers are required to register an account on the TWIST eShop before they can start shopping on the TWIST eShop. Account registration is completely free.
To register an account, customers must provide the required information on the registration form on the TWIST eShop website (www.twisteshop.com); and after receiving a confirmation email from TWIST at their registered email address, click the confirmation link on the TWIST eShop website to activate the TWIST eShop account.
You guarantee and declare that all information provided during account registration is true, accurate, and complete. If any information you provided to us when registering your TWIST eShop account changes, you agree to update it immediately in your profile on the TWIST eShop. To the extent permitted by law, we shall not be held liable for any claims, demands, liabilities, or legal proceedings arising from your omission, negligence, and/or failure to provide updated information, or the accuracy and completeness of such information.
To register a TWIST eShop account, the following information is required:
a) Chinese or English name;
b) Valid email address (requires verification and cannot be changed after submission);
c) Valid mobile phone number;
d) Date of birth; and
e) Login password.
We reserve the absolute discretion to refuse and/or cancel any applicant's/TWIST member's eShop account registration and to terminate and/or cancel their eShop account for any reason.
Please note that each valid email address can only be used to register one TWIST eShop account.
2. I forgot my password. What should I do?
Click "Forgot Password", then enter your registered email address. The system will send a link to the customer. Click the link to change your password on the page provided.
3. How to change my personal password and personal information in my account?
Log in to your TWIST eShop account, click "Change Password" to change your password; click the "My Account" button, modify your account information on that page, then click "Confirm" to save the updated information.
4. If I have already registered as a TWIST member on www.twist.hk, the TWIST member app, or at a TWIST physical store, do I still need to register a separate TWIST eShop account on www.twisteshop.com to shop on the TWIST eShop?
Yes, you must still register a TWIST eShop account because the TWIST eShop account and the TWIST member account operate on two separate systems.
5. If I shop on the TWIST eShop, can I earn or use TWIST points in my existing TWIST member account?
Since the TWIST eShop account and the TWIST member account operate on two separate systems, we can only match your information if you use the same email address and mobile phone number when registering as a TWIST member and when creating your TWIST eShop account. If the registered email address and mobile phone number are the same in both systems, your purchases on the TWIST eShop will earn points in your existing TWIST member account, and your purchase history on the TWIST eShop will also be displayed in your existing TWIST member account.
However, please note that redemption of points for TWIST Dollars and/or selected gifts can only be done at any TWIST physical store; and redemption of points for Asia Miles can only be done within the TWIST member app.
Therefore, when creating an account on the TWIST eShop, if you have previously registered as a TWIST member at www.twist.hk, via the TWIST member app, or at a TWIST physical store, we strongly recommend that you use the same registered email and/or mobile phone number to register.

1. What payment methods does TWIST accept?
We accept Visa, Master, American Express (via PayPal), Alipay, and WeChat Pay as payment methods.
The payment process is as follows:
a) Click the "Proceed to Checkout" button to be redirected to the "Secure Checkout" page.
b) Please provide your shipping address.
c) If shipping fees apply, they will be automatically displayed in the "Shipping Method & Fee" section.
d) If customs handling fees apply, they will be automatically displayed in the "Customs Handling Fee" section depending on the situation, or you may need to pay the freight service provider directly. However, please note that your local government authorities may levy certain taxes on the ordered goods before you actually receive the shipment. Tax policies vary by region. e) Select the payment method in the "Payment Method" section.

g) After clicking "Place Order Now":
i. If you have selected "VISA/Master/AE", for both desktop and mobile versions of the TWIST eShop, you will be redirected to the PayPal page to complete the payment process.
ii. If you have selected "Alipay" or "AlipayHK", for the desktop version of the TWIST eShop, you will receive a payment QR code. Scan the QR code to complete the payment. For the mobile version of the TWIST eShop, you will be redirected to the Alipay page to complete the payment.
iii. If you have selected "WeChat Pay", for the desktop version of the TWIST eShop, you will receive a payment QR code. Scan the QR code to complete the payment. Please note that WeChat Pay is currently not available on the mobile version of the TWIST eShop.
2. In which currency are your transactions settled?
The settlement currency is Hong Kong Dollars.
3. What is the default currency on TWIST?
The default currency on TWIST is Hong Kong Dollars. All foreign currency prices displayed on TWIST are for reference only and are subject to change from time to time based on market exchange rates generally prevailing at the time.
Delivery of Goods Purchased Online on any TWIST Platform or at any TWIST Physical Store
Generally, goods ordered online by customers on any TWIST platform or purchased at any TWIST physical store will be delivered to the customer's designated address within 2 to 14 working days (excluding Saturdays, Sundays, and public holidays) from the date of the customer's order and our confirmation of acceptance of the order. We will endeavour to deliver the goods as soon as possible within the estimated time, but delivery cannot be guaranteed due to factors such as adverse weather, traffic congestion, and other unforeseen events. Upon signing for the goods, the customer confirms receipt of the ordered goods and assumes all responsibility and risk for the ordered goods.

Exchange/Return/Refund Policy for Online Purchases on any TWIST Platform
If you discover a problem with goods purchased online on any TWIST platform, please notify us by emailing info@twisteshop.com first. TWIST will try to resolve your issue as quickly as possible. Any exchange, return, or refund request made without prior email contact will not be accepted. Please note that the following exchange/return/refund policy applies only to online purchases made on any TWIST platform and does not apply to purchases made at any TWIST physical store.
TWIST will consider providing exchange/return/refund services for goods you purchased online on any TWIST platform, provided that you submit your exchange/return/refund request by email within 24 hours of signing for the goods. Any exchange/return/refund request made after this 24-hour period will not be accepted. TWIST will only process the corresponding exchange/return/refund procedures after confirming that you have complied with all the terms set out below:
1. TWIST will not provide exchange/return/refund services for goods without quality problems. Whether the quality of goods is problematic shall be determined solely by TWIST.
2. All goods are thoroughly inspected and properly packaged before dispatch, and a uniquely numbered security tag is attached to ensure the quality of the goods you purchase. If the aforementioned security tag is damaged and/or not attached to the goods, any exchange/return/refund request will not be considered.
3. Goods must be returned in their original saleable condition, including all original hang tags, manufacturer's boxes, packaging materials, dust bags, hangers, certificates, manufacturer's warranties, instruction manuals, all accessories, and the uniquely numbered TWIST security tag still intact on the goods. None of the above items may be missing or damaged, and the goods must not have been worn, washed, used, or modified in any way. All packaging must be free of scratches and damage, and the goods must be returned in perfect condition without affecting resale.
4. Exchange/return/refund will not be accepted under the following circumstances:
a) The invoice issued by TWIST for the order must be returned together with the goods. If you fail to provide the invoice, the exchange/return/refund request will not be accepted.
b) For "set items" and "gift set items", you cannot return only part of the set, as the set is sold at a discounted price as a whole and the items within the set cannot be sold separately.
c) Flash sale items, special offer items, discounted items, special promotion items, or joint promotion items are not eligible for exchange/return/refund.
d) Goods that TWIST, at its sole discretion, deems to have been worn, washed, used, or modified in any way are not eligible for exchange/return/refund.
e) Personal intimate items, including but not limited to earrings, swimsuits, swim trunks, underwear, briefs, socks, tights, stockings, and any other hygiene products, skincare products, and cosmetics, are not eligible for exchange/return/refund.
f) Requests for exchange/return/refund due to subjective reasons will not be accepted. Whether the reason for returning goods is subjective shall be determined solely by TWIST. Subjective reasons include (but are not limited to):
i. Material or fabric differs from imagination: e.g., thickness or transparency, softness/hardness of feel, etc.
ii. You change your mind, think the goods look bad when worn, are not as comfortable or beautiful as imagined, or the size, colour, or material differs from imagination, etc.
g) Requests for exchange/return/refund due to non-quality issues will not be accepted. Whether the quality of goods is problematic shall be determined solely by TWIST. Non-quality issues include (but are not limited to):
i. Minor imperfections: loose threads, chalk marks, glue stains, skipped stitches, dropped stitches, wrinkled seams, loose threads, pulled threads, running yarn, loose buttons or other accessories, small stains, uneven stitching in inconspicuous areas, occasional falling off of rhinestone decorations, minor cracking or peeling of prints, slight scratches, pilling, unevenness, wrinkles, dents, flash, mild oxidation, slight unevenness in electroplating or printing colour, etc.
ii. Different monitors or browsers may cause some colour difference between product images and the actual product.
h) Requests for exchange/return/refund due to the country of origin of the goods will not be accepted.
i) Goods that have been inspected and signed for upon receipt are not eligible for exchange/return/refund.
j) Goods that TWIST, at its sole discretion, deems may affect resale are not eligible for exchange/return/refund.
5. All costs for returning goods shall be borne by the customer. Under no circumstances will TWIST accept returned goods via "cash on delivery" shipping. TWIST will not collect any package sent by "cash on delivery".
6. Upon receipt of the returned goods, TWIST will conduct a quality inspection, generally completed within 14 working days, to determine whether the goods comply with all return terms. Only after confirming that the goods meet all return conditions will TWIST proceed with exchange/return/refund processing.
7. TWIST reserves the right to replace defective goods with the same style, colour, and size. TWIST will only process a refund if the relevant goods are out of stock. After confirming that the goods meet all return terms, the refund request will be forwarded to the accounting department, which will complete the refund process within approximately 21 working days. The refund will be issued to the customer in the form of a Sales Return Voucher, valid for 30 days from the date it is issued to the customer. However, any discounts and/or offers, paid shipping fees, and any other handling fees and taxes (if any) from the original transaction will not be refunded, and all shipping fees, handling fees, and taxes (if any) that may arise from processing the refund or exchange shall be borne solely by the customer.
Each Sales Return Voucher may be used only once and cannot be exchanged for cash. When exchanging goods using a Sales Return Voucher, the customer may only request to exchange for goods of equal value. If the customer requests goods of a higher value than the amount shown on the Sales Return Voucher, the customer must pay the difference. If the customer requests goods of a lower value than the amount shown on the Sales Return Voucher, the balance will not be refunded.
8. In the event of any dispute regarding exchange/return/refund, the decision of TWIST shall be final.

1. Acceptance of Terms of Service
This TWIST network service usage agreement (hereinafter referred to as "this Agreement") is entered into between TWIST and registered customers of TWIST (hereinafter referred to as "Customers"). This Agreement has contractual effect. The contents of this Agreement include the main body of this Agreement and all types of applicable rules already published or to be revised or published by TWIST in the future (hereinafter referred to as "Rules"). All Rules are an integral part of this Agreement and have the same legal effect as the main body of this Agreement. After the Customer confirms this Agreement and successfully registers as a TWIST customer following the TWIST registration procedure, this Agreement shall have legal effect on the Customer and TWIST. Customers must carefully read the entire content of this Agreement before registration. Regardless of whether the Customer actually reads this Agreement carefully before registration, once the Customer successfully registers on any TWIST platform following the TWIST registration procedure, the Customer's actions indicate agreement to and compliance with this Agreement. This Agreement does not cover the legal relationships and disputes between the Customer and other TWIST customers arising from online transactions. While using the various services provided by TWIST under Article 3 of this Agreement (hereinafter referred to as "TWIST Network Services"), the Customer agrees to accept and comply with the provisions of this Agreement and related Rules. The terms of service of TWIST applicable under the terms of this Agreement and related Rules constitute a complete agreement.
2. Update of Terms of Service
TWIST has the right to update various Rules from time to time based on updates to the TWIST Network Services. If this Agreement has any changes, TWIST will upload the relevant changes to the platform as soon as possible. Once uploaded, the updated Agreement becomes effective immediately. If the Customer does not agree to the relevant changes, they must immediately stop using the TWIST Network Services. Continued login to the TWIST platform or continued use of the TWIST Network Services by the Customer indicates acceptance of the updated Agreement. Unless otherwise expressly stated, any changes to the scope or content of the TWIST Network Services are subject to this Agreement.
3. Description of Services
a) TWIST Network Services include online shopping services (hereinafter referred to as "Shopping Services") and/or information tools, personalization services, and other various personalised services (hereinafter referred to as "Personalised Services") provided by TWIST to Customers through its platforms.
b) TWIST uses its platform's operating system to provide Customers with abundant online resources via the internet, including Shopping Services and Personalised Services. Unless otherwise expressly specified, any changes to the scope or content of the TWIST Network Services (including but not limited to new features and new applications of the TWIST platform) are unconditionally subject to the terms of this Agreement. TWIST has the right to change, suspend, or terminate part or all of the services at any time without prior notice to Customers and without assuming any responsibility to any Customer or third party.
c) Given the special nature of the TWIST Network Services, TWIST needs to periodically or irregularly inspect or maintain the platforms or related equipment providing the TWIST Network Services. If the TWIST Network Services are interrupted due to such circumstances, TWIST shall not be held liable for any such interruption.
d) Unless otherwise required by law, TWIST does not assume any responsibility for the TWIST Network Services, meaning Customers use the TWIST Network Services at their own risk. TWIST does not guarantee that the TWIST Network Services will meet Customer requirements, nor that the TWIST Network Services will be uninterrupted, and makes no guarantee regarding the timeliness, security, or accuracy of the TWIST Network Services.
e) For goods purchased by Customers from TWIST and shipped by a third-party courier company, ownership and risk of loss transfer to the Customer upon delivery to the courier company. If problems occur with the package during delivery (including but not limited to loss of the package, damage to the package or goods, etc.), TWIST will not assume any responsibility for any losses caused by such third party.
f) To use the TWIST Network Services, Customers must:
i. Confirm that upon completing the registration process or actually using the TWIST Network Services in another manner permitted by TWIST, the Customer is a natural person, legal entity, or other organisation with full civil capacity and full civil conduct capacity. If the Customer lacks the aforementioned qualification, the Customer and the Customer's guardian shall bear all consequences arising therefrom, and TWIST has the right to cancel (permanently freeze) the Customer's TWIST account and seek compensation from the Customer and the Customer's guardian.
ii. Equip themselves with the necessary devices for accessing the internet, including computers, modems, or other access devices.
iii. Understand that TWIST only provides the relevant TWIST Network Services, and Customers must pay for all expenses related to the TWIST Network Services (including but not limited to the costs of connecting to and browsing the TWIST platform, telephone and internet charges for accessing the internet, and mobile phone charges for using mobile networks).
g) Customers accepting the TWIST Network Services agree to:
i. Provide complete, true, accurate, and up-to-date personal information when registering with TWIST, and continuously update registration information as requested by TWIST. If any personal information changes, Customers shall promptly update it.
ii. If TWIST learns that a Customer has provided any false, untrue, outdated, or incomplete registration information, or if TWIST has reasonable grounds to suspect that the aforementioned registration information is false, untrue, outdated, or incomplete, TWIST has the right to restrict or cancel the Customer's account and refuse to provide part or all of the TWIST Network Services to the Customer now or in the future without assuming any liability.
4. Customer Compliance with Laws and Regulations
a) Customers agree to comply with the laws of Hong Kong, other laws and regulations regarding the use of computers and the internet issued by relevant authorities, other applicable regulations, and other laws and regulations applicable to Hong Kong. Under any circumstances, if TWIST has reason to believe that a Customer's conduct may violate the aforementioned laws, regulations, or other applicable regulations, TWIST may immediately terminate the provision of TWIST Network Services to that Customer without prior notice.
b) Customers should understand the borderless nature of the internet and pay special attention to complying with all relevant local laws and regulations.
5. Privacy Policy
We are committed to protecting your personal data, taking appropriate precautions and following industry best practices to ensure that such data is not lost, misused, accessed, disclosed, altered, or destroyed inappropriately. Your personal data, credit card information, and transactions are all encrypted using 256-bit SSL.
a) Customers provide personal data when registering with TWIST. TWIST collects personal data to provide Customers with as many personalised services as possible. Without proper and lawful authorisation, TWIST will not actively disclose, edit, or disclose Customer personal data or non-public content stored by Customers on TWIST (including but not limited to data stored in TWIST email), except in the following circumstances:
i. Required by relevant laws, government authorities, or TWIST's legal service procedures.
ii. In emergency situations, to protect the rights and interests of Customers and the public.
iii. To protect TWIST's intellectual property or other legal rights and interests.
iv. Other situations where disclosure, editing, or disclosure of personal data is required by law.
b) Customers agree that TWIST may use Customer personal data in the following circumstances, including but not limited to:
i. For promotional purposes, TWIST may share Customer personal data with third-party partners.
ii. TWIST matches Customer data with third-party partner data.
iii. TWIST discloses Customer statistical data to potential partners, advertisers, and other third parties, and for other legal purposes describing the TWIST Network Services.
iv. TWIST may send Customers information about different TWIST products and services or other products and services that TWIST believes Customers may find interesting. If Customers do not wish to receive such information, they need only inform us at the time of providing personal data or at any other time.
c) TWIST will use its reasonable efforts to protect Customer data, but TWIST cannot confirm or guarantee the security of any Customer personal data. Customers assume such risks themselves. The aforementioned risks include but are not limited to: when customers disclose personal data during connection, such data may be obtained by the public, and customers may receive unsolicited information; TWIST partners or any other third parties who learn of Customer personal data through other websites may conduct independent data collection activities and other actions. TWIST shall not be held liable at any time for the actions of Customers and any other third parties as described above, nor for any risks, losses, or damages caused to Customers by such actions.
d) Use of Cookies and Web Logs
A cookie is a small text file stored on your computer (or other electronic device) when you enter the TWIST platform. TWIST uses cookies (or similar tools) on the TWIST platform to:
i. Recognise your identity when you browse the TWIST platform;
ii. Obtain information about your preferences, browsing and viewing behaviour, online activities, and internet usage;
iii. Continuously track the goods stored in your shopping cart to assist you with checkout;
iv. Conduct research and statistical analysis to help TWIST improve services and better understand the requirements and interests of visitors and customers;
v. Provide advertising tailored to your personal interests, more effectively carrying out TWIST's, its business partners', and advertisers' promotional and advertising plans;
vi. Improve the functionality of the TWIST platform to provide you with the best possible online experience at all times and provide you with information you may find interesting; and
vii. Enhance security measures.
By clicking on any content on the TWIST platform, you agree to allow the placement of cookies. The cookies used by TWIST do not themselves provide your personal data. TWIST only obtains your personal data when you choose to provide it to the TWIST platform. However, once you choose to provide your personal data to the TWIST platform, that data may be linked to data stored in cookies.
Although TWIST may obtain information from your computer or other electronic device (such as IP address, browser settings, browsing history, and/or other internet log data), this may not necessarily identify you. Where non-personal data is intermingled with personal data, for the purposes of this Privacy Policy, TWIST will treat such intermingled data as personal data.
If you do not allow the use of cookies, you may adjust your internet browser settings. If you disable cookies, you acknowledge that you may not be able to use certain features of the TWIST platform.
e) Enquiries about TWIST's Privacy Policy, Access to and Correction of Personal Data
If you have any enquiries about this Privacy Policy, or wish to access or correct your personal data held by TWIST, or wish to withdraw your consent to receive marketing information, please email info@twisteshop.com or call (852) 2797 2111. You may also access, verify, or update your personal data by logging into the TWIST platform.
6. Customer Account, Password, and Security
a) Upon successful registration on the TWIST platform, the Customer becomes an eligible Customer of TWIST and will receive a dedicated password and account. The Customer is responsible for safeguarding the security of their password and account. Regardless of whether the dedicated password and account are actually used or controlled by that Customer, the Customer shall be fully responsible for all activities conducted using that dedicated password and account. TWIST shall not assume any responsibility or obligation for any loss or damage caused to the Customer by the use of that dedicated password and account.
b) If the Customer's dedicated password and account are used without authorisation or any other security problem occurs, the Customer shall immediately notify TWIST. The Customer should log out of their account promptly after each use of the TWIST account; otherwise, the Customer's password and account may not be secure with TWIST.
c) Each Customer shall be fully responsible for all activities and events conducted using their dedicated account. If a Customer fails to safeguard their dedicated password and account, causing damage to themselves, other Customers, TWIST, or other third parties, that Customer shall bear full responsibility.
7. Storage and Limitation of Customer Data
a) TWIST assumes no responsibility for the deletion or failure to store Customer data published on the TWIST platform.
b) The Customer shall be fully responsible for all content published, uploaded, posted, or sent via the TWIST platform or email. TWIST does not guarantee the correctness, completeness, truthfulness, or quality of content published and/or transmitted by Customers via the TWIST Network Services. Customers use such content at their own risk.
c) While receiving TWIST Network Services, Customers may encounter content that they find objectionable or inappropriate. Under no circumstances shall TWIST be liable for the Customer's personal experience with such content, including but not limited to any errors or omissions arising therefrom, and any loss or damage resulting therefrom. TWIST has the right (but not the obligation) to refuse or delete any content provided via the TWIST Network Services.
d) TWIST has the right to preserve or disclose content published and/or transmitted by Customers in any form via the TWIST Network Services without assuming any legal liability in the following circumstances:
i. As required by the laws of Hong Kong.
ii. As required by this Agreement.
iii. In response to claims made by an injured third party.
iv. To protect the rights, property, or personal safety of TWIST, its Customers, and the public.
v. Other situations TWIST deems necessary.
8. Product Purchase and Fees
a) All goods purchased through TWIST are sold to end customers and are not for commercial resale. If we have any doubt about the intended use of the goods ordered by the Customer, we may refuse to sell the goods.
b) When TWIST ships the goods, ownership of the goods transfers from TWIST to the Customer. The Customer is required to pay the price of the goods and other necessary fees, and may be required to pay shipping fees, other surcharges, or taxes. By completing the relevant order process, the Customer accepts the terms and agrees to be responsible for all shipping fees, handling fees, taxes, or other necessary fees for the ordered goods.
c) To the extent permitted by law, TWIST reserves the right to revise product prices, various fees, product availability, and other content from time to time without prior notice and without any legal liability to Customers.
d) All goods are limited in quantity and available while stocks last. TWIST does not guarantee that product availability will meet all Customer orders. To the extent permitted by law, TWIST may, at its discretion, refuse or cancel orders, refuse to provide goods and/or TWIST Network Services at any time without giving any reason.
9. Prohibited Customer Conduct
Customers shall not engage in the following conduct through or using TWIST:
a) Posting or transmitting any illegal, harmful, threatening, harassing, infringing, defamatory, vulgar, obscene, insulting, libellous, pornographic, lewd, gambling, violent, murderous, terrifying, religious/racial/gender-discriminatory, privacy-invading, criminal-inciting, or otherwise objectionable content via uploading, posting, sending emails, or other means, including but not limited to information, data, text, software, music, photos, graphics, or other materials.
b) Opposing the basic principles established by the constitution.
c) Using the internet to spread rumours, defame, or publish or disseminate other harmful information.
d) Using the internet to steal or disclose state secrets, intelligence, or military secrets.
e) Using the internet to incite ethnic hatred or discrimination, undermining ethnic unity.
f) Using the internet to organise cult organisations or contact cult members, undermining the implementation of national laws and administrative regulations.
g) Harming minors in any way.
h) Impersonating any person or entity, or falsely claiming or implying an affiliation with any person or entity in a false or deceptive manner.
i) Forging headers or otherwise manipulating identifiers to cause others to mistakenly believe that content posted or transmitted by them is posted or transmitted by TWIST.
j) Posting or transmitting content that they have no right to post or transmit (such as TWIST internal data and confidential information) via uploading, posting, sending emails, or other means.
k) Infringing upon all rights and interests of TWIST or any third party, including but not limited to posting or transmitting content that infringes or may infringe upon all civil rights and interests of others, including but not limited to personal rights and any patent, trademark, copyright, trade secret, or other intellectual property rights, via uploading, posting, sending emails, or other means.
l) Posting or transmitting advertising letters, promotional materials, spam, etc., via uploading, posting, sending emails, or other means.
m) Posting or transmitting data containing software viruses or other computer code, files, or programmes that may interfere with, damage, or limit the functionality of any computer software, hardware, or telecommunications equipment via uploading, posting, sending emails, or other means.
n) Using the TWIST Network Services system to engage in any behaviour that may adversely affect the normal operation of the internet, including but not limited to interfering with or disrupting the TWIST Network Services or servers or networks connected to the TWIST Network Services, or failing to comply with the regulations for using the TWIST platform.
o) Violating any relevant Hong Kong laws, regulations, rules, ordinances, or other legally binding standards.
p) Stalking or otherwise harassing others.
10.TWIST Public Access Areas
a) "Public Access Areas" refer to areas on TWIST that, at TWIST's discretion, are generally accessible to Customers, including but not limited to TWIST's social media platforms and any online platforms.
b) Content posted, published, or uploaded by Customers in TWIST's Public Access Areas is deemed to be a free, non-exclusive license granted by the Customer to TWIST to use such content. TWIST has the right to copy, edit, modify, and publish the aforementioned content for the purpose of display, publication, and promotion, to the extent permitted by law. TWIST's right to use such content terminates after the Customer deletes the content from TWIST.
c) Customers shall bear full responsibility for any claims for compensation or any damage or loss arising from or in connection with any third-party claims faced by TWIST due to the Customer's posting, publishing, or uploading activities in the Public Access Areas.
11. Commercial Transactions with Advertisers
Communications, business dealings, or participation in promotions between Customers and advertisers via the TWIST Network Services are solely between the Customer and the advertiser and have no relation to TWIST. TWIST shall not be liable for any damage or loss arising from such transactions or from advertisers in connection with the TWIST Network Services. TWIST also has no obligation to screen or review advertisements or advertisers.
12. Links
The TWIST Network Services may provide links to other internet websites or resources. TWIST makes no guarantee regarding the availability or reliability of such websites or resources. TWIST shall not be liable for any loss or damage arising from the use or reliance on such websites or resources.
13.TWIST Intellectual Property and Other Rights
a) Customers shall not copy, sell, or use the content related to the TWIST Network Services for other commercial purposes.
b) TWIST owns the relevant intellectual property and other rights under applicable laws and regulations in the TWIST Network Services and the software and related information and data used for the TWIST Network Services.
c) The information and content published and/or transmitted through the TWIST Network Services are protected by copyright laws, trademark laws, patent laws, or other laws; without the express authorisation of TWIST, Customers shall not modify, reproduce, rent, transmit, or create derivative works thereof.
d) Customers have a non-exclusive right to use the software used for the TWIST Network Services, but shall not themselves permit any third party to copy, modify, sell, or create derivative works from such software.
e) The design drawings and other graphics, product and service names related to TWIST and the TWIST Network Services are intellectual property owned by TWIST. No one may use, copy, or use them for other purposes.
14. Disclaimer
a) TWIST makes no representation or warranty regarding the correctness or reliability of any content uploaded by any Customer via the TWIST Network Services that is downloaded or obtained by any Customer via or in connection with the TWIST Network Services, or any content directly or indirectly obtained through the TWIST Network Services; and TWIST shall not be liable for any advertisements, information, or data uploaded by any Customer on the TWIST Network Services. Customers use the TWIST Network Services at their own risk.
b) TWIST has the right, but not the obligation, to improve or correct any omissions or errors in any part of the TWIST Network Services.
c) TWIST does not guarantee:
i. That the TWIST Network Services will suit all Customer requirements.
ii. That the TWIST Network Services will be uninterrupted, timely, secure, reliable, or error-free, including hacker intrusion, network interruption, telecommunications issues, and other force majeure events.
iii. That any goods, services, or other information obtained by Customers via the TWIST Network Services will meet Customer expectations.
d) Customers assume the risk of using any data downloaded or obtained via the TWIST Network Services. Customers shall be fully responsible for any damage to their computer systems or data loss resulting from the use of such data.
e) The TWIST platform and its content are provided on an "as is" basis. Subject to applicable laws, TWIST shall not be liable for any loss (including financial loss and intangible loss) arising from the TWIST Network Services, whether direct, indirect, incidental, consequential, or punitive.
f) Although TWIST has made every effort to display the true appearance and colours of goods, it cannot guarantee that your computer will display them accurately.
g) Subject to applicable laws, TWIST shall not be liable for any direct, indirect, incidental, consequential, supplementary, or punitive damages for loss of profits, goodwill, data, or other tangible or intangible losses arising from:
i. Use or inability to use TWIST;
ii. Any goods, data, or services purchased or obtained via the TWIST Network Services;
iii. Unauthorised use or modification of Customer data;
iv. Other matters related to the TWIST Network Services.
h) When browsing the internet, Customers should exercise their own judgment on whether to use TWIST's search directory. Such search directory may lead Customers to websites deemed offensive or inappropriate. TWIST has no obligation to examine the content of websites listed in the search directory and therefore assumes no responsibility for the truthfulness, completeness, correctness, legality, or propriety of such content.
i) Any legal relationships and disputes arising between TWIST Customers are unrelated to this Agreement, and TWIST shall have no responsibility or obligation in this regard.
j) Without prejudice to the foregoing, the content of the TWIST platform is provided based on the circumstances and availability at the time.
15. Indemnification
If TWIST faces or any third party makes any claim of rights, infringement, or possible infringement of all civil rights and interests of others, or any third party makes any claim due to the Customer posting or transmitting content via the TWIST Network Services, using the TWIST Network Services, violating the terms of this Agreement, or infringing upon any rights of others, the Customer agrees to indemnify TWIST, its branches, affiliates, agents, or other partners and employees for all losses resulting therefrom and hold them harmless. Under any circumstances, TWIST reserves the right to seek compensation from Customers who use the network to infringe upon the rights of others.
16.TWIST Network Service Update, Modification, and Termination
TWIST has the right to stipulate and modify general measures for using the TWIST Network Services based on actual circumstances, including but not limited to deciding the retention time of email messages or other uploaded content, limiting the number of emails that a TWIST Network Services account can receive, and other measures. TWIST shall not be liable for any failure to store or delete content or other information of the TWIST Network Services. TWIST has the right to delete accounts that have been unused for 3 months after notifying the Customer.
TWIST has the right to determine whether a Customer's conduct complies with the provisions of this Agreement. If TWIST believes that a Customer has violated the provisions of this Agreement, TWIST has the right to discontinue providing TWIST Network Services to that Customer at any time. Furthermore, TWIST has the right to modify or terminate all or part of the TWIST Network Services temporarily or permanently at any time without prior notice to Customers. TWIST shall not be liable to Customers or any third party for modifying or terminating the TWIST Network Services. TWIST has the right to terminate a Customer's account, password, or use of the TWIST Network Services, or delete or transfer content stored and posted by the Customer on TWIST, for any reason. TWIST may take the above actions without giving any notice and shall not be liable to the Customer or any third party.
Articles 7 "Storage and Limitation of Customer Data", 9 "Prohibited Customer Conduct", 13 "TWIST's Intellectual Property and Other Rights", 14 "Disclaimer", 15 "Indemnification", and 18 "TWIST Trademark Information" of this Agreement shall remain in effect after the Customer's registration is cancelled or this Agreement is terminated.
17. Notices
Generally, notices from TWIST to Customers will be sent by email or regular mail. If the terms of this Agreement are modified or other matters related to the TWIST Network Services change, TWIST will upload the relevant changes to the platform as soon as possible.
18.TWIST Trademark Information
All trademarks of TWIST are owned by TWIST (hereinafter referred to as "TWIST Trademarks"). Without the prior written consent of TWIST, Customers agree not to display, use, or otherwise deal with the TWIST Trademarks, and/or not to indicate that the Customer has the right to display, use, or otherwise deal with the TWIST Trademarks. Nothing done or acted upon by the Customer on the TWIST platform shall constitute any transfer of intellectual property rights or license to the Customer to exercise any intellectual property rights.
19. Applicable Law and Jurisdiction
The validity, interpretation, modification, execution, and dispute resolution of this Agreement shall be governed by the laws of Hong Kong. Where there is no relevant legal provision, general international commercial practices and/or industry practices shall be referenced.
All disputes arising from this Agreement shall be resolved in accordance with Hong Kong law, with the Hong Kong courts where TWIST's operator is located as the court of first instance.
In the event of any discrepancy between the Chinese and English versions of the above agreement, the English version shall prevail.
